Kai Capital Management acquires Kaiser GmbH Oberflächentechnik

With the notarized contract dated 19 February 2013 Kai Capital Management GmbH & Co. KGaA has acquired

Kaiser GmbH Oberflächentechnik

headquartered in Erndtebrück.

Kaiser (www.kaiser-oberflaechentechnik.de) has been operating in the surface coating industry for over 30 years, especially in corrosion protection. The company’s core competencies are cathodic electro dip coating, zinc flake coating and powder coating. The majority of the company’s customers are based in Germany. Automobile suppliers make up the largest base of the company’s customers.

The company was founded and headed by Mr. Johannes Alfred Kaiser until now. Mr. Kaiser and his daughter, Anke Kaiser, will step down as chief executive officers. Ms. Kaiser, however, will complete her departure after a successful transitional phase has been effectuated. The Kaiser family will continue to work with the company after its sale, for the reason that the family will remain owners and landlords of the real estate properties where the company’s operations and plants are located and with which the company has a long-term rental contract.

Sascha Paduch, who has been in senior management of the company for many years, will take over as the sole chief executive officer subsequent to the full retirement of Anke Kaiser. In the course of this sale, Kaiser GmbH Oberflächentechnik will also acquire the operating business of Motec GmbH & Co. KG, which is also owned by the Kaiser family. Motec GmbH & Co. KG provides assembly services for Kaiser.

The acquisition is being carried out in the course of a succession plan, which will have no effect on the daily operations of Kaiser’s business.

Kai Capital Management is a holding company, which acquires small and mid-sized companies, especially those, which are undergoing a plan of succession. Kai Capital Management acquires at least a majority stake in its targeted acquisitions and continues to work closely with the company’s existing management in accordance with ethical and entrepreneurial principles. Kai Capital Management’s priority is the mid- and long-term success of the companies it acquires.
